By creating an account, completing verification, or using any part of the SecuredStays platform, you agree to be bound by these Terms of Service in their entirety. If you do not agree to these Terms, you may not access or use the Platform.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Member") and SecuredStays LLC, a Florida limited liability company wholly owned by Grimaxca Enterprises LLC, a Wyoming limited liability company (collectively, "SecuredStays," "we," "us," or "our"). By creating an account, completing verification, or using any part of the SecuredStays platform ("Platform"), you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you may not access or use the Platform.
SecuredStays operates a verified housing marketplace that connects identity-verified and professionally licensed travel healthcare professionals ("Travelers") with identity-verified property owners ("Owners") for short-term housing placements. The Platform does not own, manage, or control any listed properties, and is not a party to any lease or housing agreement executed through the Platform.
"Adverse Action" means a denial or unfavorable action taken against a Member in whole or in part based on information contained in a consumer report, as governed by the FCRA.
"Consumer Reporting Agency" or "CRA" means a company that collects and provides consumer report information as defined under the FCRA, 15 U.S.C. § 1681 et seq.
"Escrow Provider" means the third-party escrow service designated by SecuredStays to hold placement funds in connection with confirmed Placements.
"Founding Member" means a Member who enrolled during the founding member period and whose membership rate is rate-locked pursuant to Section 5.4.
"ID Verified" means a Member who has completed identity verification through the Platform's designated service. The ID Verified designation does not constitute a background check, character endorsement, or guarantee of any kind.
"Owner" means a Member who lists one or more residential properties on the Platform.
"Placement" means a confirmed housing arrangement between a Traveler and an Owner executed through the Platform.
"Platform" means the SecuredStays website, mobile application, APIs, and all related services and tools.
"Portable Tenant Screening Report" or "PTSR" means a portable consumer screening report generated by the designated third-party Screening Provider, containing credit history, criminal background, eviction records, and identity verification, which a Traveler initiates, owns, and shares directly with Owners.
"Screening Provider" means the third-party Consumer Reporting Agency designated by SecuredStays for Traveler portable screening reports.
"Traveler" means a Member who is a travel healthcare professional seeking short-term housing through the Platform.
3.1 General Eligibility
You must be at least 18 years of age and legally authorized to enter into a binding contract under applicable law to create an account or use the Platform.
3.2 Traveler Eligibility
To access the Platform as a Traveler, you must be an actively licensed travel healthcare professional. Eligible professions include, without limitation, registered nurses, licensed practical nurses, allied health professionals, physicians, and other credentialed healthcare workers employed through travel staffing arrangements.
3.3 Owner Eligibility
To list a property as an Owner, you must have legal authority to lease the property, comply with all applicable laws governing residential rentals, and successfully complete the Owner screening process described in Section 7.
4.1 Account Registration
To become a Member, you must provide accurate, complete, and current information during registration. You are responsible for maintaining the accuracy of your account information and for all activity under your account.
4.2 Identity Verification
All Members must complete identity verification through the Platform's designated service before accessing any communication, listing, or placement features. Identity verification is a one-time requirement subject to periodic re-verification at SecuredStays' discretion.
4.3 Professional License Verification — Travelers
Travelers must hold a valid professional license in good standing at all times during their membership. SecuredStays reserves the right to periodically verify Traveler professional license standing through applicable licensing databases, including the Nursys license verification system. SecuredStays does not guarantee real-time accuracy of license status information and is not responsible for delays in third-party database updates. In the event a verification check returns a suspended or revoked license status, the Traveler's account may be paused or terminated. SecuredStays expressly disclaims any duty of continuous, real-time, or uninterrupted license monitoring.
4.4 Criminal Background Screening — Owners
Owners must complete a criminal background screening through SecuredStays' designated Consumer Reporting Agency before any listing may be activated. The Owner screening process and adverse action procedures are governed by Section 7.
5.1 Traveler Membership
Traveler membership is available for a flat annual fee of $149. This fee is identical for all Travelers regardless of any screening or report configuration. No financial differentiation based on credit disclosure status or screening outcomes is applied. Membership includes: identity verification, access to Traveler screening tools through the designated Screening Provider, periodic professional license verification, access to verified Owner listings, on-platform secure messaging, and eligibility for Placement.
5.2 Owner Membership
Owner membership is available at the following annual rates based on the number of active listings: one property: $149 per year; two to four properties: $99 per year; five or more properties: $79 per year.
5.3 Placement Success Fee
Upon execution of a confirmed Placement, an Owner success fee of $99 to $149 per Placement applies, disclosed prior to Placement confirmation. This fee is charged to the Owner only. No success fee is charged to Travelers.
5.4 Founding Member Rate Lock
Founding Members are entitled to a rate-locked membership at the rate in effect at enrollment, for the life of continuous membership. This rate lock applies to membership fees only and does not extend to placement success fees, background screening fees, or third-party service fees.
5.5 Background Screening Fee — Owners
Owner criminal background screening is required annually and billed separately at $35 per screening, charged at initial account activation and annually thereafter.
5.6 Re-Screening
PTSRs are valid for 30 days from issuance. Travelers requiring a new report must obtain one directly through the designated Screening Provider at that provider's then-current pricing.
5.7 Payment Processing
All membership fees and placement success fees are collected through the Platform's designated payment processor. All fees are non-refundable except as required by applicable law.
6.1 PTSR Requirement
Travelers must obtain a PTSR from the Platform's designated Screening Provider before sharing applications with Owners. The PTSR includes credit history, criminal background, eviction records, and identity verification.
6.2 Traveler as Report Subject
The Traveler initiates, owns, and controls their PTSR. The Traveler pays the Screening Provider directly. SecuredStays is not the Consumer Reporting Agency for Traveler screening and is not a party to the contract between the Traveler and the Screening Provider.
6.3 Report Sharing
The Screening Provider issues the Traveler an authenticated shareable link. Travelers share this link with Owners through the Platform's messaging system. Owners access the report exclusively through the Screening Provider's portal. SecuredStays does not access, store, copy, or retain the contents of any PTSR.
6.4 Report Validity
PTSRs are valid for 30 days from issuance. Travelers are responsible for maintaining a valid report during active housing searches.
6.5 Credit Disclosure
All PTSRs include credit history. SecuredStays does not offer or support credit-excluded reports. Every Traveler shares the same complete report with Owners, ensuring consistent and lawful evaluation.
6.6 FCRA Rights
Travelers retain all rights under the FCRA, including the right to dispute inaccurate information directly with the Screening Provider and the right to receive adverse action notices when applicable. SecuredStays is not responsible for the accuracy of any PTSR and does not adjudicate disputes.
7.1 Screening Requirement
All Owners must complete a criminal background check through SecuredStays' designated Owner CRA before any listing may be activated. By submitting to screening, Owners provide written consent for the Owner CRA to conduct the check.
7.2 Standalone Disclosure
Prior to any Owner background check, SecuredStays will provide the Owner with a standalone written disclosure that a consumer report will be obtained. This disclosure is provided separately from any other form, consent, or agreement.
7.3 Report Review and Adverse Action
Owner background check results are reviewed by SecuredStays. If a report warrants further review, the Owner's listing is placed in Pending Review status. SecuredStays will not take adverse action without following the full pre-adverse and adverse action process required by the FCRA, including: providing the Owner with a pre-adverse action notice identifying the consumer report and information being considered; allowing a minimum of seven business days for the Owner to review the report, dispute inaccurate information with the Owner CRA, or submit additional context; reviewing any Owner response or dispute resolution result before making a final determination; and providing the Owner with a final adverse action notice if SecuredStays proceeds with the adverse decision, including a copy of the consumer report and a summary of the Owner's rights under the FCRA.
7.4 Dispute Process
Disputes regarding the accuracy of an Owner background check are handled exclusively by the Owner CRA. SecuredStays does not adjudicate disputes. The adverse action timeline is paused during any dispute and resumes in accordance with the Owner CRA's resolution outcome.
7.5 Annual Re-Screening
Owners must complete a new criminal background check annually. Failure to do so results in suspension of active listings until re-screening is completed.
8.1 Listing Requirements
Owners may list properties they have legal authority to lease. Listings must accurately describe the property, amenities, location, and availability. Photographs must represent the actual current condition of the property and meet the Platform's minimum photo requirements.
8.2 Listing Accuracy
Owners are solely responsible for the accuracy of all listing information. SecuredStays does not verify listing descriptions, photographs, amenities, or property condition.
8.3 Listing Activation
A listing will not be activated until the Owner has: (a) completed identity verification; (b) completed the required criminal background screening; and (c) paid the applicable membership fee. Listings are subject to SecuredStays' review and approval prior to activation.
8.4 Listing Conduct
Owners are responsible for compliance with all applicable laws governing residential rentals, including zoning laws, HOA restrictions, and applicable housing codes.
8.5 Off-Platform Placement Pause
If an Owner's property is placed through a channel outside the Platform, the Owner must pause their Platform listing within 48 hours of the off-platform placement. A paused listing will not be reactivated until the Owner certifies that the property is genuinely available.
9.1 Application and Connection
Travelers may initiate a connection request to an Owner through the Platform's messaging system. Owners may review the Traveler's ID Verified status and PTSR through the Screening Provider's portal before making a placement decision.
9.2 Owner Decision
Placement decisions are made solely by Owners. SecuredStays does not make or influence placement decisions. Owners must evaluate all Travelers on a consistent basis in compliance with applicable fair housing laws.
9.3 Decline Reason Code
When an Owner declines a Traveler application, the Owner must select one of the following reason codes: SCREEN_FAIL — the Owner's decision was based in whole or in part on information contained in the Traveler's PTSR. This reason code triggers the adverse action notice process in Section 9.4. The Owner, as the user of the consumer report and the party taking the adverse action, bears the legal obligation under FCRA § 1681m to ensure the adverse action notice is delivered to the Traveler. PROP_TAKEN — the property was committed to another applicant. The Traveler was not declined based on screening information. No adverse action notice is owed under this reason code. The reason code is selected by the Owner and is never inferred or assigned by the Platform. The Owner is solely responsible for selecting the accurate reason code and for all legal consequences of their selection.
PROP_TAKEN Listing Pause: When an Owner selects PROP_TAKEN, the relevant listing will be automatically paused for a minimum of 21 days. Owners seeking to reactivate a listing within this period may reactivate by providing a self-certification that the prior placement has concluded and the property is genuinely available. No manual audit or documentation submission is required for standard reactivations. SecuredStays reserves the right to request supporting documentation only in cases where a pattern of repeated PROP_TAKEN selections is detected on a single listing.
Owner Indemnification for Inaccurate Reason Code: Owners who inaccurately select PROP_TAKEN when the actual basis for the decline was information in the Traveler's PTSR are solely responsible for all FCRA violations resulting from the failure to deliver the required adverse action notice. Such Owners shall indemnify, defend, and hold harmless SecuredStays, its parent company, and their respective officers, directors, employees, and agents against all claims, damages, penalties, and attorneys' fees arising from the inaccurate reason code selection.
9.4 Adverse Action — Traveler Side
When an Owner selects SCREEN_FAIL, the Platform initiates the following process as a facilitation service only. The Owner, as the party taking the adverse action, retains the legal obligation under the FCRA to ensure the Traveler receives the required notices: the Platform sets the relevant thread to a decline_pending_notice status; the Platform transmits a notification to the Screening Provider to initiate the adverse action notice process on behalf of the Owner; the Screening Provider sends the Traveler a pre-adverse action notice identifying the report information considered in the Owner's decision and the Traveler's rights; the Screening Provider sends the Traveler a final adverse action notice following the applicable notice period; upon confirmation from the Screening Provider that the adverse action notice has been delivered, the Platform updates the thread status to declined. If the notification to the Screening Provider fails after all retry attempts, the thread status remains at decline_pending_notice. SecuredStays will manage delivery through alternative means before finalizing the decline. SecuredStays maintains an immutable audit log of all SCREEN_FAIL events, notice transmission attempts, and confirmation receipts. SecuredStays provides this facilitation service as a convenience and does not assume the Owner's FCRA obligation to deliver adverse action notices.
9.5 Screening Gate
No lease may be generated or executed through the Platform until all active applicants on the relevant listing have completed identity verification and PTSR submission. This requirement applies uniformly to all applicants on a given listing.
10.1 Escrow Requirement
Upon execution of a Placement lease, Travelers are required to fund an escrow account held by the Platform's designated Escrow Provider in the amount of one month's rent plus one-half month's rent as a security deposit. This amount is identical for all Travelers and is not subject to adjustment based on any screening outcome or credit disclosure.
10.2 Escrow Administration
Escrow funds are held by the Escrow Provider and are not accessible to SecuredStays, the Owner, or the Traveler except upon the occurrence of the release conditions described herein. SecuredStays is not a party to the escrow arrangement and does not hold, control, or disburse escrow funds.
10.3 Escrow Release
Escrow funds are released to the Owner upon confirmed Traveler move-in. Security deposit release upon move-out is governed exclusively by the Escrow Provider's terms of service and dispute resolution process. SecuredStays does not adjudicate escrow disputes, does not evaluate the sufficiency of any evidence submitted by either party, and takes no position on the merits of any security deposit claim. All disputes regarding security deposit disbursement must be directed to the Escrow Provider in accordance with the Escrow Provider's procedures.
10.4 Platform Fee Separation
Platform membership fees and placement success fees are collected through the Platform's payment processor and are entirely separate from escrow funds. Platform fees are never routed through the Escrow Provider.
11.1 All Members
No Member may: (1) provide false, misleading, or inaccurate information during registration, verification, or any Platform interaction; (2) use the Platform for any purpose other than legitimate housing search or listing; (3) circumvent, disable, or interfere with any security or verification feature of the Platform; (4) collect, copy, or transmit any other Member's personal information without explicit consent; (5) use the Platform to harass, threaten, or discriminate against any other Member; (6) engage in any conduct that violates applicable law, including the Fair Housing Act, the FCRA, and applicable anti-discrimination laws; or (7) attempt to reverse engineer or access the source code or proprietary systems of the Platform.
11.2 Owners
In addition to the general prohibitions, Owners may not: (1) decline Travelers on the basis of any protected class under applicable law; (2) apply screening criteria with disparate impact on any protected class; (3) require Travelers to submit screening reports from sources other than the Platform's designated Screening Provider; (4) share, copy, or retain any information from a Traveler's PTSR outside of the Screening Provider's portal; (5) select a decline reason code that does not accurately reflect the basis for the decline decision; or (6) fail to pause a listing within 48 hours of an off-platform placement as required by Section 8.5.
11.3 Off-Platform Transactions
Members may not arrange, solicit, or complete housing placements, payments, or lease agreements outside of the Platform for properties or Travelers connected through the Platform. Any attempt to circumvent the Platform's processes voids all protections available under these Terms. SecuredStays reserves the right to terminate any Member's account upon detection of off-platform transaction activity.
12.1 Third-Party Providers
The Platform integrates with third-party providers for identity verification, criminal background screening, portable tenant screening reports, escrow administration, payment processing, lease execution, and professional license verification. SecuredStays is not responsible for the availability, accuracy, or conduct of any third-party provider.
12.2 Hold Harmless
SecuredStays expressly disclaims all liability for any loss, damage, or harm arising from the acts or omissions of any third-party provider, including but not limited to service outages, inaccurate consumer report information, delayed or failed adverse action notice delivery, escrow administration errors, or payment processing failures. Members' recourse for third-party service failures lies directly with the applicable provider.
12.3 Third-Party Terms
Use of third-party services integrated with the Platform is subject to those providers' own terms of service and privacy policies.
SecuredStays is committed to full compliance with the Fair Housing Act and all applicable state and local fair housing laws. All Members must conduct themselves in accordance with fair housing requirements. Discriminatory conduct by any Owner is grounds for immediate account termination.
SecuredStays may, at its sole discretion and without obligation, review platform activity for compliance with fair housing requirements. Nothing in these Terms creates an affirmative duty on the part of SecuredStays to detect, investigate, or remedy discriminatory conduct by any Member. SecuredStays reserves the right to take remedial action, including account termination and reporting to applicable authorities, upon detection of discriminatory patterns.
All content, technology, trademarks, and intellectual property associated with the Platform are owned by SecuredStays or licensed to SecuredStays. Members receive a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose during the term of their membership.
SecuredStays collects, uses, and protects Member information in accordance with its Privacy Policy, incorporated herein by reference. Consumer report information is handled in accordance with the FCRA and applicable state consumer protection laws.
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SECUREDSTAYS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SECUREDSTAYS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THE ID VERIFIED DESIGNATION IS NOT A GUARANTEE OF CHARACTER, SUITABILITY, OR FITNESS FOR ANY PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SECUREDSTAYS, ITS PARENT COMPANY GRIMAXCA ENTERPRISES LLC, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE PLATFORM. IN NO EVENT SHALL SECUREDSTAYS' TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL MEMBERSHIP FEES PAID BY THE MEMBER IN THE TWELVE MONTHS PRECEDING THE EVENT, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to defend, indemnify, and hold harmless SecuredStays, its parent company Grimaxca Enterprises LLC, and their respective officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law including fair housing and FCRA obligations; (d) any placement decision you make as an Owner; (e) any inaccurate information you provide; (f) any off-platform transaction activity; or (g) any inaccurate decline reason code selection.
19.1 Informal Resolution
Before initiating any formal dispute, Members agree to contact SecuredStays at admin@securedstays.com with a written description of the dispute. SecuredStays will use commercially reasonable efforts to resolve the dispute informally within 30 days.
19.2 Binding Arbitration
If informal resolution is unsuccessful, all disputes arising out of or relating to these Terms, the Platform, or any Placement shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, conducted in Hillsborough County, Florida, or via remote means by mutual agreement. Judgment upon the award may be entered in any court of competent jurisdiction. Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
19.3 Class Action Waiver
YOU AND SECUREDSTAYS EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
19.4 Governing Law
These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law principles, except as preempted by applicable federal law.
20.1 Term
These Terms commence on the date you create an account and continue until your membership is terminated.
20.2 Termination by Member
Members may terminate their accounts at any time by contacting SecuredStays at admin@securedstays.com. Membership fees are non-refundable upon termination by the Member.
20.3 Termination by SecuredStays
SecuredStays may suspend or terminate any Member's account immediately upon: (a) violation of these Terms; (b) conduct harmful to the Platform, other Members, or third parties; (c) failure to complete required verification or re-screening; (d) license suspension or revocation for Travelers; (e) adverse action resulting in denial for Owners; (f) evidence of discriminatory conduct; (g) off-platform transaction activity; or (h) inaccurate reason code selection.
20.4 Effect of Termination
Upon termination, your license to use the Platform ceases immediately. Provisions that by their nature survive termination shall continue in full force, including Sections 12, 14, 16, 17, 18, 19, and 20.
SecuredStays reserves the right to modify these Terms at any time. Material modifications will be communicated to Members by email at least 30 days before the effective date. Continued use of the Platform after the effective date constitutes acceptance of the modified Terms.
22.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional feature-specific terms, constitute the entire agreement between you and SecuredStays with respect to the Platform.
22.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
22.3 Waiver
SecuredStays' failure to enforce any provision shall not constitute a waiver of that or any other provision.
22.4 Assignment
You may not assign rights or obligations under these Terms without SecuredStays' prior written consent. SecuredStays may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.
22.5 Notices
All notices to SecuredStays shall be sent to admin@securedstays.com. SecuredStays will send notices to the email address associated with your account.
22.6 Force Majeure
SecuredStays shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including natural disasters, acts of government, telecommunications failures, or third-party service outages.
By creating a SecuredStays account, you confirm that you have read and agreed to these Terms of Service in full. This agreement is binding upon account creation and for the duration of your use of the Platform.
